VoxConnectUC – Terms of Service

These Terms of Service (“Terms”) describe the rules and conditions that apply to your use of the VoxConnectUC website located at https://voxconnectuc.com (the “Site”) and any voice, unified communications, cloud, or related services we provide (collectively, the “Services”).

By accessing the Site or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

VoxConnectUC,” “we,” “us,” and “our” refer to VoxConnectUC and its affiliates. “Customer,” “you,” and “your” refer to the individual or organization accessing the Site or using the Services.


1. Description of Services

VoxConnectUC provides business communication and connectivity solutions, which may include, without limitation:

  • Hosted VoIP and cloud-based phone services
  • Unified communications (UC) applications and collaboration tools
  • SIP trunking and connectivity to the public switched telephone network (PSTN)
  • Internet, SD-WAN, and failover connectivity solutions
  • Contact center, business SMS, and AI-powered communication tools
  • Related hardware, software, configuration, and customer support

Specific Services, pricing, terms, and service levels may be described in one or more service quotes, work orders, or agreements between VoxConnectUC and Customer (each, a “Service Order”). In the event of a conflict between these Terms and a signed Service Order, the Service Order will control for that particular Service.


2. Eligibility and Account Responsibility

To use our Services, you represent and warrant that:

  • You are at least 18 years of age.
  • If you are entering into these Terms on behalf of a company or other legal entity, you have the authority to bind that entity.

You are responsible for:

  • Maintaining the confidentiality of any account credentials, passwords, or portal access information
  • All activities that occur under your account
  • Ensuring that your users and administrators comply with these Terms and any applicable Service Orders

You agree to notify us promptly of any unauthorized use of your account or any other breach of security.


3. Customer Equipment and Access

Some Services require certain equipment or software (“Customer Equipment”), such as internet access, routers, switches, IP phones, softphones, or compatible devices and operating systems. You are responsible for:

  • Procuring and maintaining Customer Equipment
  • Ensuring your network and devices meet the minimum technical requirements we may provide
  • Backing up your data and configuration prior to any installation or change

VoxConnectUC may, in some cases, supply equipment, software, or configuration (“VoxConnect Equipment”) for use with the Services. Unless expressly sold to you, VoxConnect Equipment remains our property and must be returned upon termination of Services if requested. You agree not to sell, lease, transfer, or tamper with any VoxConnect Equipment.

If on-site access is required (for example, to install or service equipment), you agree to provide VoxConnectUC and its authorized personnel reasonable access to your premises during normal business hours.


4. Fees, Billing, and Payment

Fees for Services (“Service Fees”) will be set out in an applicable Service Order, online order, or other written arrangement. Unless otherwise stated:

  • Recurring charges are billed in advance; usage-based charges (e.g., per-minute calling) are billed in arrears.
  • Service Fees are due on or before the invoice due date.
  • Late payments may be subject to late charges or service suspension.

You are responsible for all applicable taxes, regulatory fees, surcharges, and similar charges (excluding taxes based on our net income), which may be added to your invoice.

We may use third-party payment processors to handle billing. By providing payment information, you authorize VoxConnectUC (and its processors) to charge all applicable amounts using your selected payment method.

We reserve the right to modify our rates and fees upon reasonable notice, subject to any price protections expressly set forth in a Service Order.


5. Acceptable Use

You agree to use the Services in a lawful, responsible manner. You will not, and will not allow any third party to:

  1. Use the Services for any illegal purpose or in violation of applicable laws or regulations.
  2. Infringe, misappropriate, or violate the rights of others, including privacy, publicity, or intellectual property rights.
  3. Transmit any content that is unlawful, harmful, defamatory, obscene, abusive, or otherwise objectionable.
  4. Attempt to gain unauthorized access to any network, system, account, or data.
  5. Interfere with or disrupt the integrity, security, or performance of the Services or any connected network.
  6. Use the Services to send spam, unsolicited bulk messages, or high-volume automated traffic not explicitly authorized.
  7. Use the Services in a way that results in excessive, abnormal, or fraudulent traffic (including, but not limited to, toll fraud, robocalling, or call pumping).
  8. Resell or provide the Services to third parties as a telecommunications carrier or service provider without our prior written consent.

We may, in our reasonable discretion and without liability, suspend or limit the Services if we detect activity that appears to violate these Terms, applicable law, or threatens the security or operation of our network or other customers.


6. Emergency Services and 911 / E911 Limitations

IMPORTANT: VoIP and cloud-based communication services operate differently from traditional landline telephone services.

You acknowledge and understand that:

  • 911 / E911 calling may not be available or may be limited in certain circumstances, including but not limited to:
    • Power outages
    • Internet or network failures
    • Misconfigured or moved equipment
    • Suspension or termination of Services for non-payment or other reasons
  • You are responsible for providing accurate, up-to-date physical location information for each device or user where required for E911 routing. Incorrect or outdated address information may cause emergency calls to be routed to the wrong emergency center or fail to transmit accurate location information.
  • We recommend that you maintain alternative means of accessing emergency services (such as a mobile phone or traditional landline) in addition to any VoIP or cloud-based Services.

To the fullest extent permitted by law, VoxConnectUC will not be liable for any damages or losses arising from the inability to reach 911 / E911 or from inaccurate emergency location information, and you agree to inform your users and staff of these limitations.


7. Third-Party Services and Integrations

The Services may integrate with or provide access to third-party applications, platforms, or services (e.g., CRM systems, collaboration platforms, AI tools, reCAPTCHA, payment processors, etc.).

  • Such third-party services are governed by their own terms and privacy policies.
  • VoxConnectUC is not responsible for, and does not control, such third-party services.
  • Use of third-party services is at your own risk.

8. Intellectual Property

All content, software, trademarks, logos, documentation, and other materials made available by VoxConnectUC (“VoxConnect Content”) are owned by VoxConnectUC or its licensors and are protected by intellectual property laws.

Subject to these Terms and any applicable Service Order, we grant you a limited, non-exclusive, non-transferable license to use the Services and any associated software solely for your internal business use for the duration of your subscription or service term.

You may not:

  • Copy, modify, reverse engineer, decompile, disassemble, or create derivative works from any VoxConnect Content or software, except as permitted by law.
  • Remove or alter any proprietary notices or branding.
  • Use VoxConnectUC trademarks or logos without our prior written permission.

9. Disclaimers

To the maximum extent permitted by law:

  • The Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis.
  • We do not guarantee that the Services will be uninterrupted, error-free, or free of security vulnerabilities.
  • We make no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Certain features, service levels, and performance metrics may be described in separate service level agreements or Service Orders, which may provide additional commitments.


10. Limitation of Liability

To the fullest extent permitted by law:

  • VoxConnectUC and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to the Site or Services, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability arising out of or relating to the Site or Services, whether in contract, tort, or otherwise, shall not exceed the amount of Service Fees you paid to VoxConnectUC for the Services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (for example, certain liabilities for personal injury or fraud).


11. Indemnification

You agree to indemnify, defend, and hold harmless VoxConnectUC and its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services or Site
  • Any content or data transmitted using the Services
  • Your violation of these Terms or applicable law
  • Any claim that your use of the Services infringes or misappropriates the rights of a third party

This obligation will survive termination of your use of the Services.


12. Term, Suspension, and Termination

These Terms apply as long as you use the Site or any Services.

We may suspend or terminate your access to the Site or Services:

  • For material breach of these Terms or an applicable Service Order
  • For non-payment of fees
  • If your use poses a security risk or potential harm to our network or other customers
  • As required by law or regulatory authorities

Upon termination:

  • You must cease using the Services.
  • Any VoxConnect Equipment requested for return must be promptly returned or may be invoiced at replacement cost.
  • Any provisions of these Terms that by their nature should survive termination (e.g., payment obligations, IP rights, indemnification, limitations of liability) will survive.

If you wish to terminate Services governed by a Service Order, your rights and any early termination charges will be as set out in that Service Order.


13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts.


14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we do, we will update the “Last updated” date at the top of this page.

If changes are material, we may provide additional notice (such as via email or a notice on the Site). Your continued use of the Site or Services after the effective date of the updated Terms constitutes your acceptance of the changes.
